  1. BY CLICKING ON ONE OF THE 'ACCEPT' BUTTONS BELOW OR CONTINUING TO
  2. USE THE ENCLOSED SOFTWARE, YOU ARE CONSENTING TO BE BOUND BY THE
  3. TERMS OF THIS AGREEMENT.  IF YOU DO NOT AGREE WITH ALL THE TERMS
  4. OF THIS AGREEMENT, CLICK ON THE 'REJECT' BUTTON AND THE

  8.         FreeTel(tm) END-USER LICENSE AGREEMENT
  9.  
  10. GRANT.  FreeTel Communications, Inc., ("FREETEL") hereby grants
  11. you a non-exclusive license to use its accompanying FreeTel
  12. software product ("SOFTWARE") free of charge for the purpose of
  13. evaluating whether to purchase an ongoing license to the
  14. SOFTWARE.  The evaluation period for use by or on behalf of a
  15. commercial entity is limited to 30 days; evaluations by others is
  16. not subject to this restriction.
  17.  
  18. COMMERCIAL ENTITY:  A "commercial entity" includes, without
  19. limitation, a corporation, firm, association, partnership, sole
  20. proprietorship, government institution, educational institution,
  21. non-profit, religious, or charitable organization, crown
  22. corporation, or trust.
  23.  
  24. USE:  You may use this SOFTWARE on up to two computers.  You may
  25. let others use this SOFTWARE on those two computers only.  You
  26. agree not to use the SOFTWARE in any manner that is illegal,
  27. unethical, harassing, threatening, obscene, or a nuisance.
  28.  
  29. NO DISTRIBUTION:  You are not permitted to make the SOFTWARE
  30. available on a network server, nor distribute the SOFTWARE to
  31. other parties.  However, you may tell them how to download a free
  32. copy of the SOFTWARE from http://www.freetel.com or even provide
  33. a Web link to the site.
  34.  
  35. RESTRICTIONS:  You may not modify, translate, reverse engineer,
  36. decompile, disassemble (except to the extent applicable laws
  37. specifically prohibit such restriction), or create derivative
  38. works based on the SOFTWARE, rent, lease, or otherwise transfer
  39. the rights to the SOFTWARE; or remove any proprietary notices on
  40. the SOFTWARE.  You may not make copies of the SOFTWARE except for
  41. archival purposes.

  43. TITLE:  Title, ownership, and intellectual property rights in and
  44. to the SOFTWARE shall at all times remain in FREETEL.  The
  45. SOFTWARE is protected by the copyright laws of the United States
  46. and by international copyright treaties.
  47.  
  48. DISCLAIMER OF WARRANTY:  Since the SOFTWARE is being
  49. provided free of charge, THE SOFTWARE IS PROVIDED ON AN
  50. "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND, INCLUDING
  51. WITHOUT LIMITATION THE WARRANTIES OF MERCHANTABILITY
  52. AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY
  53. OF NON-INFRINGEMENT.  SOME STATES DO NOT PERMIT
  54. EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER
  55. MAY NOT APPLY TO YOU, AND YOU MAY HAVE OTHER LEGAL
  56. RIGHTS THAT VARY FROM STATE TO STATE.
  57.  
  58. LIMITATION OF LIABILITY:  UNDER NO CIRCUMSTANCES SHALL
  59. FREETEL, ITS SUPPLIERS, OR RESELLERS BE LIABLE FOR ANY
  60. INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR ANY
  61. LIABILITY IN TORT, CONTRACT, OR OTHER LEGAL THEORY, FOR
  62. COMPUTER FAILURE OR MALFUNCTION, BUSINESS INTERRUPTION,
  63. LOSS OF PROFITS, LOSS OF GOODWILL, OR ANY OTHER
  64. COMMERCIAL DAMAGES OR LOSSES ARISING OUT OF YOUR USE OR
  65. INABILITY TO USE THE SOFTWARE, EVEN IF FREETEL HAS BEEN
  66. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN NO
  67. EVENT SHALL FREETEL BY LIABLE FOR ANY DAMAGES IN EXCESS
  68. OF ONE HUNDRED DOLLARS.
  69.  
  70. TERMINATION:  The license will terminate automatically if you
  71. violate any of the provisions of this agreement.  On termination,
  72. you must destroy all copies of the SOFTWARE.
  73.  
  74. EXPORT CONTROLS AND INTERNATIONAL RESTRICTIONS:  You are not
  75. permitted to export, download, or use the SOFTWARE in Switzerland
  76. or any country, state, or jurisdiction that restricts the use of
  77. the SOFTWARE.  You are not permitted to export or download the
  78. software into Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran,
  79. Syria or any other country to which the U.S. has embargoed goods.
  80.  
  81. MISCELLANEOUS:  This agreement represents the entire agreement
  82. concerning this license between the parties and supersedes all
  83. prior agreements and representations.  It may be amended only by
  84. written agreement.  If any provision in this agreement is held to
  85. be unenforceable for any reason, such provision shall be modified
  86. only to the extent necessary to make it enforceable.  This
  87. agreement shall be governed and construed under California law as
  88. such law applies to agreements between California residents
  89. entered into and to be performed within California, except as
  90. governed by Federal law.  The application of the United Nations
  91. Convention of Contracts for the International Sale of Goods is
  92. expressly excluded.

  94. U.S. GOVERNMENT RESTRICTED RIGHTS:  The SOFTWARE and
  95. documentation are provided with Restricted Rights.  Use,
  96. duplication, or disclosure by the Government is subject to
  97. restrictions set forth in subparagraph (c)(1) of the Rights in
  98. Technical Data and Computer Software clause at DFARS 252.227-7013
  99. or subparagraphs (c)(1)(ii) and (2) of Commercial Computer
  100. Software - Restricted Rights at 48 CFR 52.227-19, as applicable.
